Matthew D. Osnos is an accomplished commercial litigation attorney with a proven track record of adept representation in the fields of contract disputes, real property disputes, partnership disputes, estate litigation, commercial loan workouts representing lenders and borrowers, creditor representation in bankruptcy, and other creditor remedies including judgments, foreclosures, and receiverships. Mr. Osnos is also a skilled real estate and business transactions attorney with extensive experience in commercial real estate transactions, commercial loan transactions, sales of businesses, contracts of all kinds, and transaction opinion letters.
With thirty-five years of practice, Mr. Osnos has consistently demonstrated a superior knowledge of the law which enables him to devise creative solutions to his clients’ problems. For example, in his successful representation of a business owner in a lawsuit to invalidate a contract option to purchase 65% of the stock of and control of his client’s business, and a related right of first refusal, Mr. Osnos creatively applied an English common law doctrine introduced in 1682, rarely invoked in modern-day litigation, to achieve his client’s desired results.
He has also effectively represented a non-profit horsemen’s association in the creation of a for-profit subsidiary, negotiation and closing of the sale of a horse racing track to the subsidiary, and financing of the acquisition by two different lenders - without an equity contribution - within a three-week period, culminating in a forty-eight hour closing, and resulting in the establishment of the only horse racing track in the United States owned by the association representing the horsemen racing at such track.
Mr. Osnos also represented Freddie Mac in handling the biggest foreclosure and re-sale of foreclosure real property in Freddie Mac history, with respect to a 900-unit apartment project.
Mr. Osnos manages and directs the Firm’s litigation attorneys in their mission to provide unequalled representation and expertise to clients. He also serves as a member of the Firm’s Executive Committee. His successes both in and outside of the courtroom speak not only to his legal acumen, but also to his dedication to client service.
Mr. Osnos was a member of the Special Joint Committee of the Section of Business Law and the Section of Real Property, Planning, and Zoning of the Maryland State Bar Association for the 2007 Report on Lawyers’ Opinions in Business Transactions. Mr. Osnos currently serves his community as a Member of the Board of Trustees of the National Center for Children and Families.
